These Terms of Service (“Terms”) govern your access to and use of the websites and services offered by Medex Clinic LLC (“Baripex,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What Baripex is — and is not
Baripex is a technology platform that connects users with independent, state-licensed healthcare providers and licensed pharmacies. Baripex does not practice medicine, does not provide medical advice, and does not dispense medication. The providers are solely responsible for the medical services they deliver. A prescription is issued only if and when a provider determines it is clinically appropriate.
2. Eligibility
You must be at least 18 years old and a resident of a state where the Services are available (currently Florida) to use the Services. You agree to provide accurate, complete, and truthful information, including in the medical questionnaire. Providing false information may put your health at risk and may result in termination of your account.
3. No emergency services
The Services are not for medical emergencies. If you are experiencing an emergency, call 911 or go to the nearest emergency room immediately.
4. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
5. Memberships, billing, and cancellation
- The Services are offered on a recurring subscription basis. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.
- Fees are described at checkout and may change with notice.
- You may cancel at any time from your dashboard. Cancellation stops future charges; please review our Refund & Return Policy regarding amounts already billed and medication already shipped.
6. Prescriptions and medications
Whether to prescribe, and what to prescribe, is at the sole discretion of the treating provider. Compounded medications are not approved by the FDA. You agree to use any prescribed medication only as directed by your provider and to report side effects promptly.
7. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms.
- Misrepresent your identity, age, residency, or medical history.
- Resell, share, or divert any medication obtained through the Services.
- Interfere with or attempt to compromise the security of the Services.
8. Intellectual property
The Services, including all content, trademarks, and software, are owned by Baripex or its licensors and are protected by law. You may not copy, modify, or distribute them without permission.
9. Disclaimers
The Services are provided “as is” without warranties of any kind, to the fullest extent permitted by law. We do not warrant any particular health outcome. Individual results vary.
10. Limitation of liability
To the fullest extent permitted by law, Baripex will not be liable for indirect, incidental, special, consequential, or punitive damages, or for the medical services provided by independent providers.
11. Indemnification
You agree to indemnify and hold harmless Baripex from claims arising out of your misuse of the Services or violation of these Terms.
12. Dispute resolution and governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. [Insert arbitration / venue provisions as finalized by counsel.]
13. Changes to these Terms
We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
